User Agreement

This User Agreement ("Agreement") governs your use of the AsicXchange website at https://asicxchange.com (the "Website"), operated by AsicXchange Team Inc., a company incorporated under the laws of Canada ("AsicXchange", "we", "us", or "our").

1. Acceptance of Terms

By accessing or using the Website, you ("User", "you", or "your") agree to be bound by this Agreement, our Public Offer Agreement, Return & Refund Policy, and Cookies Policy. If you do not agree to these terms, you must not use the Website.

2. Definitions

Throughout this Agreement, the following terms shall have the meanings set forth below:

"User" / "You" — any individual or entity accessing or using the Website.

4. User Accounts

  • 4.1. Certain features of the Website may require you to create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.
  • 4.2. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify us immediately of any unauthorized use of your Account.
  • 4.3. We reserve the right to suspend, terminate, or refuse service to any Account at our sole discretion, without prior notice, if we believe that the Account has been used in violation of this Agreement or applicable law.
  • 4.4. You may not transfer or assign your Account to any third party without our prior written consent.

5. Use of the Website

  • 5.1. You agree to use the Website only for lawful purposes and in accordance with this Agreement.
  • 5.2. You agree not to:
    • Use the Website in any way that violates any applicable federal, provincial, state, local, or international law or regulation
    • Attempt to gain unauthorized access to any part of the Website, the server on which it is stored, or any server, computer, or database connected to the Website
    • Use any robot, spider, scraper, or other automated means to access the Website for any purpose without our express written permission
    • Interfere with or disrupt the Website, its servers, or networks connected to the Website
    • Upload or transmit any viruses, malware, or other harmful code
    • Use the Website to send unsolicited commercial communications (spam)
  • 5.3. We reserve the right to monitor your use of the Website and to restrict or terminate your access if we determine, in our sole discretion, that you have violated this Agreement.

6. Intellectual Property

  • 6.1. All Content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, software, and data compilations, is the property of AsicXchange or its content suppliers and is protected by Canadian and international copyright, trademark, and other intellectual property laws.
  • 6.2. The AsicXchange name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of AsicXchange or its affiliates. You may not use such marks without our prior written permission.
  • 6.3. You may access and view the Content for your personal, non-commercial use only. You may not:
    • Reproduce, distribute, or modify any Content without our permission
    • Sell, rent, or sub-license Content from the Website
    • Create derivative works based on the Content or the Website
    • Use any Content for commercial purposes without our express written consent

7. User Content

  • 7.1. The Website may allow users to post reviews, comments, or other content ("User Content"). You are solely responsible for any User Content you submit.
  • 7.2. By submitting User Content, you grant AsicXchange a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.
  • 7.3. You represent and warrant that:
    • You own or have the necessary licenses to the User Content you submit
    • Your User Content does not infringe any third party's intellectual property or privacy rights
    • Your User Content does not contain defamatory, libelous, offensive, indecent, or otherwise unlawful material
  • 7.4. We reserve the right, but have no obligation, to monitor, edit, or remove any User Content at our sole discretion.

8. Privacy and Cookies

8.1. Your privacy is important to us. Our use of personal information is governed by our Cookies Policy, which explains what information we collect, how we use it, and your rights regarding your data.

8.2. By using the Website, you consent to the collection and use of information as described in the Cookies Policy.

10. Disclaimers and Limitation of Liability

  • 10.1. The Website and all Content are provided on an "as-is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access.
  • 10.2. We do not warrant that:

    • Any errors or defects in the Website will be corrected

  • 10.4. Nothing in this Agreement shall limit or exclude liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation, to the extent such limitation is not permitted under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless AsicXchange and its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
  • Your use of the Website
  • Your violation of this Agreement
  • Your violation of any third-party rights
  • Any User Content you submit

12. Termination

  • 12.1. We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason, including but not limited to breach of this Agreement.
  • 12.2. Upon termination, your right to use the Website shall immediately cease. Provisions of this Agreement that by their nature should survive termination (including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

13. Governing Law

13.1. This Agreement shall be governed by and construed in accordance with the laws of Canada and the Province of Quebec, without regard to conflict of law principles.

13.2. Any dispute arising out of or relating to this Agreement shall first be attempted to be resolved through good-faith negotiations. If the parties are unable to resolve the dispute within thirty (30) days, either party may pursue any remedies available under applicable law.

14. Changes to This Agreement

We reserve the right to modify or replace this Agreement at any time. Material changes will be communicated by posting the updated Agreement on the Website with a revised "Last updated" date. Your continued use of the Website after any such changes constitutes your acceptance of the modified Agreement.
